Talkspace LLC (“Talkspace”) and Nappy Boy Entertainment (“Nappy Boy Entertainment” and together with Talkspace, the “Sponsors”) are hosting a sweepstakes (the “Sweepstakes”) for eligible individuals who choose to participate during the Sweepstakes Period described below. By electing to participate in the Sweepstakes, you are representing to the Sponsors that you meet all of the eligibility requirements and will be bound to the following terms and conditions (the “Official Rules”).
- ELIGIBILITY. To be eligible to participate in the Sweepstakes, you must (i) be a legal resident of one of the fifty (50) United States the District of Columbia who is 18 years of age or older as of the date of Entry, and (ii) complete one or more Entries as described below. Employees and Contractors of the Sponsors and its affiliates, and their immediate family members or those residing in the same household are not eligible to participate in the Sweepstakes. Your eligibility is subject to applicable laws and regulations and is void where prohibited.
- SPONSOR. The Sweepstakes is sponsored by Talkspace, 622 Third Avenue, 10th Floor, New York, NY 10017 and Nappy Boy Entertainment, 380 Crossville Road, Roswell GA 30075. The Sweepstakes is also administered by Talkspace. Any personal or contact information you provide as part of the Sweepstakes is given solely to Nappy Boy Entertainment and Talkspace and will be subject to Talkspace’s privacy policy, which can be found at https://www.talkspace.com/public/privacy-policy. Any intellectual property used in these Official rules and the Sweepstakes are solely the property of Talkspace. Any questions or complaints regarding this Sweepstakes shall be directed to Talkspace only.
- AGREEMENT TO OFFICIAL RULES: By entering the Sweepstakes, you (each and collectively, the Entrants”) or “you” or “your”) individual your full and unconditional agreement to, and acceptance of, (a) these Official Rules and (b) Sponsors decisions regarding the Sweepstakes, which are final and binding. Winning the Prize is contingent upon (i) fulfilling all requirements set forth herein and (ii) upon compliance with any and all federal and state laws and regulations. Entrants who do not comply with all of these Official Rules are subject to disqualification as winner by the Sponsors, in Sponsors’ sole discretion and all privileges as winner will be immediately terminated.
- SWEEPSTAKES PERIOD. The Sweepstakes entry period begins at 9:00am ET on May 10, 2024 and ends at 11:59pm ET on May 17, 2023 (the “Sweepstakes Period”). Entries received outside of the Entry Period will not be considered. In order to be entered into the random drawing, all entries or AMOEs must be received (or postmarked) by Talkspace prior to the close of the Sweepstakes Period.
- HOW TO ENTER. There are two ways to enter, as described below. An entry by either method during the Sweepstakes Period is considered an “Entry” or collectively, “Entries”. some text
- Visit www.Nappyboy.store and provide your basic contact information, including your name, telephone number and email address in the prompted pop-up window for Sweepstakes entry.
- Pre-order T-Pain’s t-shirt for T-Pain’s new single entitled “On This Hill”' at www.nappyboy.store.
- TOTAL NUMBER OF ENTRIES. Regardless of the entry method used to enter the Sweepstakes, there is a maximum of two( 2) total Entries permitted for each Entrant. Entries in excess of two(2 ) will not be considered eligible Entries to the Sweepstakes. Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different identities and/or any other methods will void that Entrant’s entry and that Entrant may be disqualified from the Sweepstakes. Entries submitted by anyone other than Entrant are void.
- DRAWING. The winner will be randomly drawn from the pool of eligible Entries using software solutions (e.g. App-Sorteos.com) at Nappy Boy Entertainment, 380 Crossville Road, Roswell GA 30075 on or about May 17, 2024. The winner will be notified by the email provided in entry during the following week. The winner will have forty-eight (48) hours to respond to the notification message. If the winner fails to respond to the notification message within the prescribed time, the Prize may be forfeited and a new winner will be randomly chosen from eligible Entries.
- PRIZE. One (1) winner will receive Talkspace video and unlimited messaging membership for fifty (50) weeks (approximate retail value of $4950 ($99 per week) (the “Prize”). The winner must provide any information required by Talkspace for delivery of any prize, including, if applicable, your shipping address. Sponsors are not responsible for any late, lost, stolen, damaged, delayed, or undelivered prizes. The Prize will be awarded "as is" and without warranty of any kind, express or implied (including any implied warranty of merchantability or fitness for a particular purpose). The Prize cannot be substituted, assigned, or transferred by the winner. Any expenses not specified herein are the sole responsibility of winners. All federal, state, local laws and regulations apply.
- ODDS OF WINNING. The odds of winning depend on the number of eligible Entries and AMOEs received during the Sweepstakes Period.
- INDEMNITY. The winner agree to indemnify and hold harmless the Sponsors and its affiliates and their officers, directors, employees, and agents against any and all liability, damages, or causes of action (however named or described), with respect to or arising out of participant’s participation in the Sweepstakes or the receipt, use, or misuse of the Prize.
- TERMS. In the event of unforeseen circumstances beyond the Sponsors’ reasonable control, Sponsors reserves the right to cancel, terminate, modify or suspend the competition or these terms and conditions, either in whole or in part, with or without notice. Talkspace reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or violates these terms and conditions.
- JURISDICTION. The Sweepstakes and these Official Rules shall be exclusively governed by and construed in accordance with the laws of the State of New York, without regard to conflicts of law provisions. Entrants submit to exclusive personal jurisdiction, and agree that any dispute shall be brought, in the state and federal courts in New York County, New York.
